Nicole Langlois has a broad commercial Chancery practice with a particular focus on cases which have a multi-jurisdictional aspect. Her main areas of specialisation are contentious trust matters, company and shareholder disputes, contract claims and professional negligence and she has particular experience of advising in relation to the complex conflicts of laws issues which often arise in cases which involve multiple jurisdictions. Her recent and on-going cases involve jurisdictions as diverse as the Isle of Man, the ADGM, Canada, Hong Kong and the Channel Islands.

Nicole is one of only a small number of barristers practising at the Bar in London who is also called to the Bar in Jersey.  Her background in Jersey law has been said to be of “great assistance in the offshore field” and she has been described as “very bright and perfect for anyone dealing with issues that straddle English and Jersey law.”

By reason of Nicole’s qualification as an Advocate of the Jersey Bar she is also often instructed to provide expert evidence on Jersey law for use in foreign proceedings. Recent examples include: instructions from the Viscount of Jersey to provide evidence on trust law in proceedings before the English High Court; instructions from the directors of a Jersey property investment fund to provide evidence on the law of contract and company law in a Hong Kong arbitration; and instructions from a UK plc to provide evidence on a variety of Jersey law issues in proceedings taking place before the Moscow City Arbitrazh Court.

Nicole is consistently recommended in the legal directories as a leading junior in the fields of trust and private wealth, “offshore” and commercial law. She is described as “an excellent courtroom advocatewho is “intellectually strong but strategically aware and astute too .

Recent notable cases include:

  • Representation of Appledore Trustees Limited re Blackberry Family Settlement [2022] JRC 179: an application for the declaration as to the validity of Deed of Retirement and Appointment.
  • USAF Nominee No. 18 Ltd & Ors v Watkin Jones & Son Ltd [2023] EWHC 1880 (TCC): a trial of a preliminary issue concerning the effects of a merger of two Jersey trust companies and whether the claimant had standing to sue.
  • Representation of Paicolex Trust Management AG [2024] JRC 041: an application to vary a Trust to remove the Settlor from the class of “Excluded Persons” and to bless the Trustees’ decision to add him to the class of beneficiaries.
  • Representation of Z re a Family Settlement [2025] 062: an application by a Trustee for a blessing of its decision to discontinue proceedings brought in Canada against an alleged fraudster.

Expertise

Nicole has extensive experience of the complex multi-jurisdictional issues which arise in the context of serious fraud claims and often advises in relation to both the personal and proprietary remedies available in such cases.

She was instructed by a leading Channel Islands’ law firm in connection with one of Jersey’s largest money laundering cases, in which monies held in a Jersey bank account were alleged by Jersey’s Attorney General to be the proceeds of a massive fraud perpetrated on the State of Nigeria. The proceedings gave rise to many novel and highly complex issues of law and Nicole represented the defendant at some of the interlocutory hearings which took place before Jersey’s Court of Appeal.

Other cases include:

  • Advising the beneficiaries of a trust in relation to claims against the trustee in the context of a multi-million pound fraud committed by the investment manager of the trust fund
  • Advising a company in relation to claims for dishonest assistance in the context of a fraud committed by one of its directors

Commercial disputes are an integral part of Nicole’s practice. She is described in the Legal Directories as thoughtful, commercial, approachable and experiencedand as having a keen eye in spotting potential strengths and weaknesses of a case.  She has particular experience of cases with a multi-jurisdictional dimension and those which give rise to complex issues of conflicts of law.

Nicole regularly advises institutional clients, directors and individuals in relation to a broad range of commercial contractual disputes. Recent cases include: acting on behalf of a UK plc in connection with a multi-million pound damages claim brought against it by the Trustees of a Jersey Property Unit Trust for alleged negligence and breach of collateral warranty in the context of the construction dispute; acting on behalf of a real estate investment firm in connection with a dispute relating to a joint venture agreement; advising in relation to the treatment of English situs assets following the restoration of a company to the BVI register of companies; advising a fund manager in connection with a contractual dispute with the fund; advising a company in connection with allegations of breach of a director’s service contract; advising a leading Bank in relation to the validity and enforceability of loan documentation.

Nicole also has particular expertise in the field of Jersey contract law, and was formally Adjunct Professor of Contract Law at Jersey’s Institute of Law. She is often instructed to act on behalf of parties in contractual disputes with a Jersey aspect, and recent cases include: advising in relation to an agreement for the sale of a Jersey limited partnership interest; acting for a Jersey company in connection with a claim for damages for breach of a pre-contractual duty of good faith in the context of a tender for the award of a substantial services contract; advising in relation to the construction of a covenant in a contract for the sale of property in Jersey.

Other cases include:

  • Acting on behalf a claimant in the context of a substantial claim for professional negligence in the context of a contract for the provision of architecture services.
  • Advising two individuals in connection with a claim for professional negligence in the context of the administration of various Offshore structures.
  • Acting on behalf of an Insurer in connection with a claim instituted by the policy holders for breach of contract.
  • Acting on behalf of a multi-national company which had been defrauded of substantial sums by one of its employees.
  • Advising in relation to conflicts of laws issues arising out of the assignment by a trustee of a substantial cause of action against a foreign defendant.
  • Advising in relation to conflicts of laws issues arising out of claims made by investors in a series of Limited Liability Partnerships.
  • Advising a company in the IT sector on the merits of a claim for breach of an agency agreement.
  • Advising in relation to the interpretation of a development agreement in connection with the largest development ever carried out in Jersey.

Nicole has experience in a range of company law matters. Her experience includes:

  • Providing expert evidence on Jersey law in a claim for breach of duty brought by liquidators against the directors of the company in liquidation.
  • Providing expert evidence on Jersey law in the context of a claim for the just and equitable winding up of a Jersey investment fund.
  • Advising in relation to a claim for unfair prejudice.
  • Acting in a claim by a company to set aside a transaction on the grounds of a conflict of interest.
  • Acting against a corporate services provider for losses caused to a company by the misapplication of funds.
  • Acting in a claim against offshore directors and a corporate services provider by two Jersey companies and their Liquidator concerning allegedly wrongful payments out of the companies of approximately €34m.

Nicole is a keen exponent of mediation whose practice which encompasses a broad spectrum of disputes. She became a CEDR accredited mediator in 2012.

As one of only a handful of lawyers who is dual qualified to practice both in London and in Jersey, Nicole is uniquely placed to mediate disputes in the Channel Islands. Her main areas specialisation are contentious trusts, company and shareholder disputes, commercial contractual disputes and professional negligence.

Nicole is regularly instructed in relation to claims for professional negligence, particularly those against trustees and legal advisers.

Recent and on-going cases include: advising an institutional trustee in connection with allegations of negligence made against it by the primary beneficiaries of the trust; acting on behalf of beneficiaries in respect of claims arising out of negligent tax advice; acting on behalf of the Insurers of a Jersey law firm in connection with allegedly negligent advice in the context of a property transaction; acting on behalf of the Insurers of a Guernsey law firm in connection with allegedly negligent drafting of a trust instrument.

Nicole specialises in contentious trust matters and her dual qualification in England and Jersey means that she is uniquely placed to deal with cases which have a Channel Islands’ dimension. She has been described as “a unique proposition if you’re looking for English law expertise and Jersey advice.”

She is regularly instructed by trustees and beneficiaries in connection with substantial claims for breach of trust and in relation to complex and sensitive applications for Beddoe relief and other directions.

Other recent cases include:

  • Acting on behalf of the beneficiaries of two very substantial Channel Islands’ trusts in connection with claims made by the Settlor’s adult children to set aside transfers into those trusts.
  • Acting on behalf of the trustee of an Isle of Man Trust in connection with a dispute as to the validity of the Trust.
  • Acting on behalf of one of the three primary beneficiaries of a substantial Jersey law Trust in connection with a dispute concerning the trustee’s proposals for division of the Trust’s assets.
  • Acting on behalf of the settlor of a Jersey in connection with an application to vary the Trust to remove the Settlor from the class of “Excluded Beneficiaries” and to bless the Trustees’ decision to add him as a beneficiary.
  • Acting as an expert witness in relation to proceedings commenced in England by the beneficiary of a Jersey law governed EBT.
  • Advising a group of BVI companies in relation to claims of constructive trust.
  • Advising the Trustee of an EBT in relation to the enforceability in Jersey of orders made by the English Court in proceedings by a beneficiary seeking to challenge the forfeiture of awards.
  • Advising in relation to conflicts of laws issues arising out of a declaration of sham made by a foreign court in respect of a Jersey trust.
  • Advising in respect of proprietary claims being brought against assets held in a Guernsey EBT.
  • Advising in relation to the enforceability of an English judgment against a Jersey trustee.
  • Advising the Inland Revenue in relation to the validity and enforceability of Jersey structures.
  • Representing the Jersey Financial Services Commission in an appeal against a decision to refuse to register a trust company.
